MiR09 LLC (hereinafter referred to as the “Agency”) offers to conclude an Agreement for the provision of services for website development and promotion, photo and video shooting, and creation of 3D tours (hereinafter referred to as the “Services”) on the following terms:

1. Terms:

Customer – an individual or legal entity placing an Order for the provision of Services.
Order – a document agreed upon by the Parties that determines the type, volume, cost, time frame for the Services, as well as other necessary conditions.
Website – a set of web pages united by a single domain name and structure, available for viewing on the Internet.
3D tour – an interactive panorama that allows you to take a virtual tour of the object.

2. Subject of the Agreement:

The Agency undertakes to provide the Customer with the Services in accordance with the Order.
The Customer undertakes to pay for the Agency’s Services.

3. Types of Services:

Website design development;
Website creation and content filling;
Website promotion in the Internet;
Photo and video shooting;
Creation of 3D tours.

4. Cost and payment:

The cost of the Services is determined by the Agency’s price list.
Payment for Services – advance payment of 50% of the cost of Services. The final payment is made after the completion of the Services and the signing of the Acceptance Certificate.

5. Deadlines:

The deadlines for the Services are determined by the Order.

6. Rights and obligations:

6.1. Agency:

Provides Services in accordance with the Order and with due quality.
Keeps confidential the information received from the Customer.
Provides the Customer with reports on the performance of the Services.

6.2. Customer:

Provides the Agency with the information and materials necessary for the provision of the Services.
Pays for the Agency’s Services.
Accepts the Services under the Acceptance Certificate.

7. Responsibility:

The Agency is responsible for the quality of the Services provided.
The Customer is responsible for the accuracy of the information provided to the Agency.

8. Dispute Resolution:

Disputes arising between the Parties are resolved through negotiations.
In case of failure to reach an agreement, disputes are resolved in court in accordance with the legislation of the United States.

9. Force Majeure:

The Parties are exempt from liability for non-fulfillment of obligations due to force majeure.
Force majeure events include natural disasters (floods, earthquakes), military actions, epidemics, as well as changes in legislation that impede the fulfillment of obligations.
The Party unable to fulfill its obligations must notify the other Party within 5 days.
In case of force majeure for more than 30 days, either Party has the right to terminate the Agreement.

10. Additional Terms:

The Agreement may be amended by the Agency unilaterally.
Check our website for all changes and additions to the Agreement.
This Offer is a public offer. Acceptance of the Offer means full and unconditional consent of the Customer to all its terms.
The Offer is accepted by:
- Sending the Order for the provision of Services by the Customer;
- Payment by the Customer for the Agency’s services.
